By accessing, browsing, registering for, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must immediately cease all use of the Service. These Terms apply to all visitors, registered users, and others who access the Service. This agreement also incorporates our Privacy Policy, Cancellation & Refund Policy, and any other policies or guidelines posted on the GaanaGPT website, all of which are made a part hereof by this reference. You affirm that you are at least 18 years of age or the age of legal majority in your jurisdiction, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case, "you" and "your" will refer to that entity. We reserve the right, at our sole discretion, to modify, amend, or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. It is your responsibility to review these Terms periodically for changes. Your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of those changes. 2. Description of Service

GaanaGPT provides a sophisticated, AI-powered music generation platform. The core of our Service is to transform user-submitted text, primarily in the form of lyrics, into complete, original musical compositions. The Service utilizes proprietary and third-party artificial intelligence algorithms to generate melodies, harmonies, instrumentals, and vocal tracks based on the lyrical input and user-selected parameters such as genre, mood, and vocal style. The output is a digital audio file ("Generated Song"). The Service is accessible through various tiers, including a free "Pay As You Go" model with limited daily creations and paid "Subscription Plans" (e.g., Starter, Pro, Ultimate) that offer expanded features, higher generation quotas, and enhanced licensing rights. In addition to song generation, the Service includes features for managing your account, organizing your created tracks, and purchasing commercial licenses for Generated Songs. The quality, style, and composition of the Generated Songs are determined by the complex interplay of our AI models and the inputs you provide. While we strive for high-quality and creatively satisfying results, we do not guarantee that any Generated Song will meet your specific subjective expectations. The Service is provided on an "as is" and "as available" basis. We are constantly evolving the Service, and we reserve the right to add, modify, or remove features, functionalities, or content at our sole discretion without prior notice. This may include changes to the AI models, available genres, vocal styles, or the user interface. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability.

3. User Accounts and Responsibilities

3.1. Account Registration

To access the full functionality of the GaanaGPT Service, including generating and managing songs, you must register for a user account ("Account"). During registration, you will be required to provide accurate, current, and complete information, which may include your name, a valid email address, and a secure password. You agree to maintain and promptly update your registration data to keep it accurate, current, and complete. Failure to do so constitutes a breach of these Terms, which may result in the immediate termination of your Account. You may not use a name or email address that is the name of another person with the intent to impersonate that person, or a name that is subject to any rights of a person other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

3.2. Account Security

You are solely responsible for all activities that occur under your Account and for safeguarding the confidentiality of your password. You agree to notify us immediately of any unauthorized use of your password or Account or any other breach of security. GaanaGPT will not be liable for any loss or damage arising from your failure to comply with this security obligation. You should use a strong password (a combination of upper and lower case letters, numbers, and symbols) and be cautious about accessing your Account from public or shared computers. We reserve the right to require you to change your password if we believe it is no longer secure.

3.3. User Conduct and Responsibilities

As a user of GaanaGPT, you agree to use the Service in a lawful and ethical manner. You are responsible for all the content, such as lyrics and prompts ("User Content"), that you submit to the Service. You agree not to submit User Content that:

• Infringes upon, misappropriates, or violates a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy.
• Is fraudulent, false, misleading, or deceptive.
• Is defamatory, obscene, pornographic, vulgar, or offensive.
• Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.
• Is violent or threatening or promotes violence or actions that are threatening to any other person.
• Promotes illegal or harmful activities or substances.

You also agree not to engage in any activity that interferes with or disrupts the Service, its servers, or networks. This includes attempting to gain unauthorized access to the Service, reverse-engineering the AI models, or using any automated means (e.g., bots, scrapers) to access the Service or generate songs in a manner that circumvents the intended user interface and usage limits.

4. Intellectual Property Rights and Licensing

4.1. Ownership of User Content

You retain full ownership of the original lyrical compositions and any other creative text you submit to the Service as User Content. By submitting User Content to GaanaGPT, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business. This license is necessary for us to operate the Service, such as processing your lyrics to generate a song and displaying your lyrics back to you in your account. This license terminates when you delete your User Content or your Account, except to the extent that your content has been shared with others and they have not deleted it.

4.2. Ownership of Generated Songs

The Generated Songs are complex derivative works created by our AI. The ownership of the copyright in the musical composition (melody, harmony, arrangement) of a Generated Song is held by GaanaGPT. However, we grant you specific rights to use these Generated Songs based on your service tier and licensing status.

4.3. Licensing Tiers and Usage Rights

The rights you have to use a Generated Song depend on the plan under which it was created:

• Personal Use License (Free Tier / Unlicensed): Songs generated under the free "Pay As You Go" model, or any song for which a commercial license has not been purchased, are granted a Personal Use License. This license is perpetual, non-exclusive, non-transferable, and worldwide. It allows you to listen to the song, download it for personal archival, and share it on your personal social media profiles for non-commercial purposes only. You may not monetize, sell, distribute to streaming services (like Spotify, Apple Music), use in advertisements, or incorporate into any commercial project under this license.
• Commercial Use License (Paid License / Subscription Plans): To use a Generated Song for any commercial purpose, you must either purchase a per-song license or be under an active Subscription Plan that includes commercial rights (e.g., Pro, Ultimate). A Commercial Use License grants you broader rights, which may include the right to distribute the song to streaming platforms, use it in monetized online content (e.g., YouTube videos), include it in independent films, podcasts, and other commercial media. The specific scope of the commercial license is defined by the terms of the plan you are subscribed to at the time of the song's creation. You are responsible for ensuring you have the appropriate license for your intended use. All licenses are subject to the Prohibited Conduct clause of these Terms.

5. Payments, Fees, and Billing

All fees for Subscription Plans and per-song licenses are stated in the local currency (e.g., INR) and are due at the time of purchase or at the beginning of a billing cycle. You agree to pay all applicable fees and taxes. We use a third-party payment processor to handle all transactions securely. We do not store your full credit card information on our servers. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your purchase, including any applicable taxes and other charges. If the payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or canceled. 6. Service Limitations and Disclaimers

6.1. No Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, GAANAGPT, ITS AFFILIATES, AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU UNDERSTAND AND AGREE THAT YOU USE THE SERVICE AND ANY CONTENT OBTAINED THROUGH IT AT YOUR OWN DISCRETION AND RISK.

6.2. Limitation of Liability

IN NO EVENT SHALL GAANAGPT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING ANY GENERATED SONGS; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM OR ONE HUNDRED US DOLLARS ($100).

7. Indemnification

You agree to defend, indemnify, and hold harmless GaanaGPT and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content you submit to the Service, particularly if such User Content infringes on the rights of a third party.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
